1. Who we are

MoxFinance is a financial intelligence platform operated by EaseHawk Technologies Private Limited, a company incorporated in India (CIN: U62011DL2024PTC427769) with its registered office in Delhi, India ("EaseHawk", "we", "us"). These Terms & Conditions ("Terms") govern access to and use of the MoxFinance websites, applications, APIs and related services (together, the "Service").

2. Acceptance of these Terms

By creating an account, accessing the Service, or clicking to accept, you agree to these Terms on your own behalf and on behalf of the organisation you represent, and you confirm you have authority to bind that organisation. If you do not agree, do not use the Service.

3. The Service

MoxFinance provides accounting, bookkeeping, invoicing, budgeting, forecasting, reporting and related financial-workflow software, including AI-assisted features. The Service is a software tool: it does not provide accounting, audit, tax, legal or investment advice, and outputs of the Service do not constitute professional advice.

4. AI-assisted features and human review

Certain features use machine learning to draft, suggest, categorise, extract, reconcile, forecast or flag information ("AI Features"). AI Features are assistive by design:

• AI outputs are drafts and suggestions. Nothing is posted to your ledger, filed with any authority, sent to a customer, or approved as payment without action by an authorised user.
• Forecasts and predictions are estimates expressed with confidence bands, not guarantees of outcome.
• You are responsible for reviewing AI outputs before relying on them, and for the accuracy of records you confirm.

5. Your responsibilities

You agree to: (a) provide accurate account and business information; (b) keep credentials confidential and use appropriate role permissions; (c) use the Service in compliance with applicable law, including tax, e-invoicing, sanctions and export laws in your jurisdiction; (d) hold the rights necessary to upload the data you submit; and (e) not misuse the Service (no reverse engineering, scraping, service benchmarking for competing products, interference with security, or unlawful content).

6. Accounts and subscriptions

Access is provided on a subscription basis under the plan selected at purchase. Fees, billing frequency, user counts and included modules are described at the point of sale or in an order form. Unless an order form says otherwise, subscriptions renew automatically for successive terms until cancelled, and fees are payable in advance and are non-refundable except where required by law.

7. Taxes and compliance features

The Service includes configurable jurisdiction packs (for example UAE VAT, KSA ZATCA e-invoicing, India GST, UK MTD). These features prepare drafts and formats to assist your compliance; you remain solely responsible for the accuracy, completeness and timely filing of your returns and invoices, and for confirming that configurations match your obligations.

8. Customer data and ownership

You retain all rights in the data you or your users submit to the Service ("Customer Data"). You grant us a limited licence to host, process, transmit and display Customer Data solely to provide and support the Service, to maintain security, and as otherwise permitted by our Privacy Policy. We do not sell Customer Data.

9. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms. This clause does not apply to information that is public, independently developed, or lawfully received from a third party.

10. Intellectual property

The Service, including software, models, designs, and the MoxFinance and Moxsuite names and marks, is owned by EaseHawk or its licensors. No rights are granted except as expressly stated. Feedback you provide may be used to improve the Service without obligation.

11. Third-party services

The Service may interoperate with third-party services (for example banks, payment providers, e-invoicing gateways). Your use of those services is governed by their terms, and we are not responsible for their acts or omissions.

12. Availability, support and changes

We aim for high availability but the Service is provided without guarantee of uninterrupted operation. We may modify features with reasonable notice of material reductions. Any service levels, if offered, are set out in a separate SLA.

13. Warranties and disclaimers

Except as expressly stated, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that AI outputs will be accurate, complete or error-free.

14. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, goodwill or data; and (b) each party's aggregate liability arising out of the Service is capped at the fees paid or payable by you in the twelve (12) months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

15. Indemnity

You will defend and indemnify EaseHawk against third-party claims arising from Customer Data or your unlawful use of the Service. We will defend and indemnify you against third-party claims that the Service, as provided, infringes their intellectual property rights, subject to customary exclusions and remedies.

16. Suspension and termination

We may suspend access for security risk, legal requirement, or material breach (including non-payment) with notice where practicable. Either party may terminate for uncured material breach on 30 days' written notice. On termination, you may export Customer Data for 30 days, after which we may delete it in accordance with our retention schedule.

17. Governing law and disputes

These Terms are governed by the laws of India, and the courts at New Delhi shall have exclusive jurisdiction, save that customers contracting with a local EaseHawk affiliate may be subject to the governing law stated in their order form.

18. Changes to these Terms

We may update these Terms; material changes will be notified at least 30 days in advance by email or in-product notice. Continued use after the effective date constitutes acceptance.
